COURSE DESCRIPTION

This hands-on course offers a practical and comprehensive look at how cross-borderconversions operate under EU and Cyprus law, with a primary focus on thecorporate and procedural mechanics of the process. From the basic legalprinciples to the finer points of procedure, the course guides you through thelifecycle of a cross-border conversion, when it is used, how it is structured,how it is carried out, and how legal continuity is preserved at the end of theprocess.

Participantswill explore the EU Directive 2019/2121 framework and its transposition intoCyprus law, gain insight into real-world application, and learn how to guide acompany through both an inbound conversion into Cyprus and an outboundconversion out of Cyprus. Participants will also look closely at the proceduralsteps, the documentation typically required, and the safeguards protectingmembers, creditors and employees.

The coursecombines legal analysis with practical examples and procedural guidance,ensuring that Participants are equipped to handle cross-border conversionsconfidently in practice.

MEET YOUR INSTRUCTOR

Chloe Constantinidou

Chloe Constantinidou holds an LLB in Law from King's College London andan LLM in Corporate and Commercial Law from the London School of Economics andPolitical Science (LSE) in the UK. She is fluent in both Greek and English.

She was admitted to the Cyprus Bar Association in 2015 and has sincebuilt extensive transactional and advisory experience, including a senior roleat a Big Four professional services firm. She is currently a Senior Associateat M. Hadjitofi LLC.

Chloe provides end-to-end support on a wide range of corporate andcommercial law matters, with particular expertise in complex corporaterestructurings and streamlining exercises for multinational groups, includingcross-border reorganisations. She also plays a key role in major M&Atransactions, assisting with due diligence, preparing transaction documents,and coordinating closing deliverables. In addition, she is highly experiencedin drafting complex commercial agreements, legal opinions, and securitisationand other banking-related documentation.

Chloe's advisory work extends to EU regulatory and competition law,with a particular focus on merger control and compliance. She has advisedprominent market players, including one of the largest energy groups in Cyprus,on compliance with commitments imposed by the Commission for the Protection ofCompetition. Her experience also spans a broad range of related practice areas,including Cyprus international trusts, intellectual property, and employment law.
